Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Ceero website, unified account, and related services (collectively, the "Service") operated by Ceero ApS ("Ceero", "we", "us", or "our") at hub.ceero.eu.

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Individual Ceero products (HourIQ, Scope, Translately, Free Markdown to PDF, and others) may have additional terms governing use within those products. Where both apply, these Terms govern the Ceero hub and account; product terms govern product-specific features.

2. Description of Service

Ceero provides:

  • A marketing website and product overview for the Ceero ecosystem
  • A unified account that lets you sign in once and access connected Ceero apps
  • Bundle subscription management and billing for eligible plans
  • Links and navigation to individual Ceero products

Each product is a separate service with its own functionality, availability, and terms. Ceero does not guarantee that all products are available in all regions or at all times.

3. Eligibility

You must be at least 16 years old to create an account. If you are under 18, you confirm you have permission from a parent or legal guardian. The Service is not directed at children under 16.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration and Security

To use certain features, you must register for an account through WorkOS AuthKit. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your credentials secure and not share them with others
  • Accept responsibility for all activity under your account
  • Notify us immediately of unauthorized access at support@ceero.eu

We may suspend or terminate accounts that violate these Terms or pose a security risk.

5. Unified Account and Connected Products

Your Ceero account may be used to access multiple Ceero apps without separate registration. By signing in, you authorize us to share account-level identifiers and profile information with connected products as needed to provide the unified experience.

Each connected product processes data according to its own privacy policy. You are responsible for reviewing product-specific terms before using those products.

6. Subscriptions and Payment

6.1 Bundle plans

Ceero may offer bundle subscription plans that provide access to multiple products. Pricing, features, and billing intervals are shown at checkout and on the Pricing page.

6.2 Paddle as Merchant of Record

All paid subscriptions are processed by Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record. By making a purchase, you agree to Paddle's terms of service. Paddle handles payment processing, invoicing, applicable taxes, and customer billing support for subscription transactions.

6.3 Billing and renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can manage or cancel your subscription through the Paddle customer portal accessible from your Ceero billing page.

6.4 Refunds

Refund requests for purchases processed by Paddle are handled by Paddle as Merchant of Record, subject to Paddle's policies and applicable law. You may request a refund within 14 days of a charge where permitted. Contact Paddle support using the details in your purchase confirmation, or reach us at support@ceero.eu and we will assist.

Digital services may not be refundable once substantially consumed during the billing period, where permitted by law and Paddle's policies.

6.5 Price changes

We may change subscription prices with at least 30 days' notice. Price changes apply to subsequent billing periods. Existing subscribers may cancel before the change takes effect.

7. Acceptable Use

You agree not to:

  • Violate any applicable law or third-party rights
  • Use the Service for fraudulent, harmful, or abusive purposes
  • Attempt to probe, disrupt, or overload our systems
  • Reverse engineer or bypass security except where applicable law forbids this restriction
  • Use automated systems to access the Service without our express written permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service to distribute malware or unsolicited communications

8. Intellectual Property

The Service, including its design, branding, text, graphics, and software, is owned by Ceero ApS and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Ceero product names and logos are trademarks of Ceero ApS or its affiliates.

9. Privacy and Data Processing

Your use of the Service is governed by our Privacy Policy. Sub-processors are listed at /legal/subprocessors.

10. Service Availability and Modifications

We strive to maintain availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service or any feature with reasonable notice when practicable. We are not liable for downtime except where mandatory law provides otherwise.

11. Third-Party Services

The Service links to and integrates with third-party products and services, including individual Ceero apps, WorkOS, Paddle, and others. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party availability, accuracy, or practices.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not warrant that the Service or any connected product will meet your requirements or that operation will be uninterrupted or error-free.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOMADWORLD APS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD 100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Ceero ApS and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party rights, to the extent permitted by law.

15. Termination

We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent or harmful activity, fail to pay subscription fees, or where required by law. You may stop using the Service and cancel your subscription at any time.

Upon termination, your right to use the Service ceases. We may delete your account data in accordance with our Privacy Policy, subject to legal retention requirements for billing records.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules. Courts in Copenhagen, Denmark, shall have exclusive jurisdiction, subject to mandatory consumer protections where you reside in the EU/EEA.

If you are a consumer in the EU/EEA, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Changes to Terms

We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Where required, we will provide additional notice to account holders. Continued use after changes become effective constitutes acceptance where permitted by law.

18. Severability

If any provision of these Terms is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ceero regarding the Service and supersede prior agreements on the same subject.
